Myworkingmemory LLC
StageShield Terms of Use
These StageShield Terms of Use ("Terms") are supplemental terms between you and Myworkingmemory LLC ("Company," "we," "us," or "our") for the StageShield macOS application, StageShield support, and the StageShield pages on myworkingmemory.ai (collectively, the "Services"). Your license to the app is also governed by Apple's Standard Licensed Application End User License Agreement ("Apple Standard EULA"). If these Terms conflict with a nonwaivable right or an applicable Apple term, that right or Apple term controls.
1. StageShield's function
StageShield is a visual presentation aid. It places a temporary layer above the macOS desktop to cover desktop icons and the wallpaper on connected displays while ordinary application windows remain available. StageShield does not change Finder's hidden-file setting and does not move, rename, delete, encrypt, lock, or alter desktop files.
The shield is not access control, file security, screen-recording protection, or a guarantee against disclosure.
A person or application with access to the Mac may still access the underlying files. A recording, screenshot, screen-sharing service, display transition, macOS Space, or application window may show information that StageShield does not cover. You are responsible for checking every display and the content being shared before and during a meeting, presentation, recording, or stream.
2. Free version and StageShield Pro
The free version provides the manual StageShield experience: manual shield and reveal controls, the fixed Option-Command-S shortcut, the Midnight backdrop, connected-display coverage, launch at login, and the completed-shield count.
StageShield Pro is an optional one-time, non-consumable in-app purchase. It adds automatic shielding when an external display connects or a presentation app you selected becomes active; a timer that temporarily reveals the desktop and then restores the shield; cursor auto-hide; additional backdrops and coverage controls; a detailed Stage Record; and related Pro controls described in the app at the time of purchase.
The price shown by Apple in your storefront before confirmation is the price that applies to the transaction. StageShield Pro is not a subscription and does not renew. A verified original Mac App Store acquisition from before the free-base transition may receive Pro access without another charge, as determined through Apple's verified transaction information.
3. Purchases, restore, and refunds
Apple processes the purchase and controls billing, payment methods, taxes, transaction verification, purchase restoration, and refund decisions. Pro access depends on a valid entitlement reported through Apple's StoreKit services. Use Restore Purchase in StageShield when a prior Pro entitlement is not shown on a Mac signed into the Apple Account used for the purchase.
Contact Apple for billing or refund requests. Contact the Company if the app does not recognize a purchase after Apple's restore process has completed. A one-time purchase means one payment for the described non-consumable unlock; it is not a promise that Apple services, App Store availability, hardware support, or every future macOS version will remain unchanged indefinitely.
4. Automation and timers
StageShield's automation is a convenience, not confirmation that screen sharing, presenting, or recording has begun. Presentation-app automation responds to macOS launch or activation events for supported apps selected in StageShield. External-display automation responds when macOS reports an added display. App updates, display timing, system state, permissions, hardware, or macOS behavior may affect a trigger. Use the manual control or Option-Command-S shortcut whenever automatic shielding has not appeared.
The desktop timer reveals the desktop for the selected interval and then attempts to restore the shield. Moving the pointer makes an automatically hidden cursor visible again. Timers can be delayed or interrupted by sleep, shutdown, app termination, heavy system load, or operating-system behavior. Confirm the current state on every display before relying on it.
5. Stage Record and local settings
StageShield stores settings and the Stage Record locally on your Mac. The Stage Record is a convenience summary based on completed shield-session timestamps; it is not an audit log, proof of confidentiality, proof that a presentation was protected, or a record of what any participant could see. You are responsible for any backup, reset, deletion, or transfer choices available through StageShield, macOS, or services you use.
6. Contracting party and Company Parties
"Company Parties" means the Company and, solely to the maximum extent allowed by law and applicable to the claim, its affiliates, members, managers, officers, employees, agents, contractors, licensors, service providers, successors, and assigns.
Your contract is with Myworkingmemory LLC only. No individual owner, member, manager, officer, employee, agent, or contractor becomes a party merely by performing work for the Company. To the maximum extent permitted by law, no such person is personally liable for the Company's debts, liabilities, or obligations solely because of that person's status or work for the Company. Nothing in these Terms creates immunity from liability that applicable law does not allow for a person's own conduct.
The protections, disclaimers, liability limits, indemnity rights, and beneficiary rights expressly provided to Company Parties are intended for their benefit and may be enforced by them to the extent applicable.
7. License, ownership, and acceptable use
Subject to the Apple Standard EULA, these Terms, applicable Apple usage rules, and your compliance with purchase terms, the Company grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to use StageShield for lawful personal or internal business purposes on Apple-branded products that you own or control and that Apple permits.
StageShield and its software, source and object code, design, interfaces, workflows, documentation, text, graphics, trademarks, and related materials are owned by the Company or its licensors and are protected by applicable law. The Services are licensed, not sold. These Terms do not transfer ownership or grant rights beyond the limited license expressly stated here and in the Apple Standard EULA.
Except to the extent a restriction is prohibited by law, you may not:
- copy, distribute, rent, lease, sell, sublicense, publish, or commercially exploit the Services or Company materials;
- reverse engineer, decompile, disassemble, derive source code, bypass technical controls, defeat purchase or entitlement verification, or create unauthorized derivative works;
- scrape, crawl, probe, harvest, benchmark for publication, or use automation to extract the app's content, design, interface, metadata, or product materials without the Company's written permission;
- interfere with the operation, integrity, or security of the Services;
- use the Services to violate law, platform rules, sanctions, or another person's rights;
- use Company materials to train, fine-tune, evaluate, benchmark, or build an artificial-intelligence system, machine-learning model, dataset, competing product, or substitute service without the Company's written permission; or
- use Company names, marks, screenshots, trade dress, or assets in a way that suggests an endorsement, affiliation, or ownership that does not exist.
The license ends if you materially breach these Terms. Any nonwaivable platform, purchase, or consumer right remains unaffected.
8. Feedback
If you submit suggestions, ideas, reviews, bug reports, feature requests, or other feedback, you grant the Company a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free license to use that feedback for any lawful purpose without restriction, attribution, or compensation. This license does not grant the Company rights in personal information beyond the practices described in the StageShield Privacy Policy.
9. Local data, support, updates, and availability
Support is available at support@myworkingmemory.ai. Include the StageShield version, macOS version, display arrangement, what you expected, and what happened. Do not send confidential screen or file contents unless needed and intentionally shared. Unless the Company expressly agrees otherwise in a signed writing, support has no guaranteed response time, resolution time, or service level.
The Company does not provide a backup or recovery service for StageShield settings or the Stage Record. Local information may be changed, reset, removed, corrupted, or lost because of app removal, device loss or failure, backup choices, macOS behavior, storage changes, or other events. The Company Parties do not guarantee that local settings or records will remain available, recoverable, restorable, complete, or accurate.
We may repair, update, change, suspend, or discontinue all or part of the Services for security, compatibility, legal, platform, or product reasons. We do not promise uninterrupted availability, compatibility with every display, app, Space, capture method, device, backup, or future operating-system version, or that every error will be corrected. Nonwaivable purchase and consumer rights remain unaffected.
10. Third-party services
Apple, macOS, the App Store, StoreKit, email services, website hosting, presentation apps, screen-sharing services, backup services, and other third-party products are controlled by their providers and governed by their own terms. A link or interaction does not imply endorsement. The Company Parties are not responsible for a third party's acts, omissions, content, availability, security, compatibility, policies, billing, refund decisions, or service changes except to the extent applicable law makes a Company Party responsible.
11. Apple-distributed application addendum
- StageShield's app license is subject to the Apple Standard EULA unless a valid custom license agreement is separately provided through App Store Connect. These Terms supplement the Apple Standard EULA.
- These Terms are between you and the Company, not Apple. The Company, not Apple, is responsible for StageShield and its content, maintenance, and support, except as Apple's terms provide.
- Apple has no obligation to provide maintenance or support for StageShield. If StageShield fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price as required by Apple's rules. To the maximum extent permitted by law, Apple has no other warranty obligation for StageShield.
- The Company, not Apple, is responsible for addressing claims relating to StageShield, including product-liability, legal-compliance, consumer-protection, and intellectual-property claims, to the extent required by applicable law.
- You must comply with applicable third-party terms and Apple usage rules when using StageShield.
- You represent that you are not located in a country subject to a United States government embargo or designated by the United States government as supporting terrorism, and that you are not listed on a United States government prohibited- or restricted-party list.
- Apple and its subsidiaries are third-party beneficiaries of this section and may enforce it to the extent the Apple Standard EULA and applicable law provide.
12. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." THE COMPANY PARTIES DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, SECURITY, COMPATIBILITY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
THE COMPANY PARTIES DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, RECOVERABLE, OR FREE OF HARMFUL COMPONENTS; THAT DEFECTS WILL BE CORRECTED; THAT STAGESHIELD WILL COVER EVERY ITEM OR DISPLAY, PREVENT EVERY ACCIDENTAL DISCLOSURE, DETECT EVERY PRESENTATION OR DISPLAY EVENT, RESTORE A SHIELD AT AN EXACT TIME, HIDE A CURSOR AT AN EXACT TIME, PRESERVE LOCAL DATA, OR OPERATE WITH EVERY APP, DISPLAY, SPACE, CAPTURE METHOD, DEVICE, OR OPERATING-SYSTEM VERSION; OR THAT THE SERVICES WILL MEET YOUR REQUIREMENTS.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS. IN THAT EVENT, THE DISCLAIMERS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED, AND NONWAIVABLE RIGHTS REMAIN AVAILABLE.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY PARTIES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, BUSINESS, GOODWILL, USE, DATA, OR OPPORTUNITY; COSTS OF SUBSTITUTE GOODS OR SERVICES; BUSINESS INTERRUPTION; DEVICE FAILURE; ACCIDENTAL DISCLOSURE; OR LOSS CAUSED BY THIRD-PARTY SERVICES, UNAUTHORIZED ACCESS, OR RELIANCE ON THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF ALL COMPANY PARTIES FOR DIRECT DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES, THESE TERMS, OR THE STAGESHIELD PRIVACY POLICY WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR STAGESHIELD DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD $100.
These exclusions and limits apply to every theory of liability and allocate risk between the parties. They do not limit liability that cannot lawfully be limited, including liability to the extent finally determined to result from fraud, willful misconduct, gross negligence where not waivable, or violation of a nonwaivable statutory right. An Apple refund right or other legally required remedy remains available.
14. Third-party-claim indemnity
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless the Company Parties from a third party's claim, action, investigation, loss, liability, damage, judgment, settlement, cost, or reasonable attorney fee arising from: (a) your material breach of Section 7; (b) your infringement or violation of a third party's rights; or (c) your fraud, willful misconduct, or unlawful or unauthorized use of the Services.
This section does not require indemnity for a Company Party's own conduct to the extent prohibited by law. The Company will give reasonably prompt notice, may control the defense and settlement, and may require your reasonable cooperation at your expense. The Company will not settle a claim in a manner that admits your personal wrongdoing or imposes a nonmonetary obligation on you without your consent, which may not be unreasonably withheld.
15. Informal dispute resolution
Before filing a lawsuit other than an eligible small-claims case or a request for urgent provisional relief, the claimant must send an individualized written Notice of Dispute to support@myworkingmemory.ai. The notice must include the claimant's name, contact information, the StageShield version and purchase platform if known, the facts, the requested relief, and a good-faith calculation of any claimed loss.
The parties will confer individually and in good faith for 60 days after a complete notice is received. A limitations period is tolled during that period to the extent permitted by law. To the maximum extent permitted by law, this process is a condition that must be completed before suit, but it does not prevent either party from seeking relief needed to preserve a claim or prevent imminent harm.
16. Governing law, forum, and nonwaivable rights
Tennessee law governs these Terms and the Services, without regard to conflict-of-law principles, except where federal law or a nonwaivable law of your location controls.
For a dispute not filed in eligible small-claims court, the exclusive forum and venue are the state courts located in Davidson County, Tennessee, or the United States District Court for the Middle District of Tennessee. You and the Company consent to personal jurisdiction there, except where nonwaivable law requires another forum.
Nothing in these Terms waives or limits a consumer right, statutory right, remedy, defense, limitation period, or forum that applicable law does not allow to be waived or limited.
17. Time limit to bring claims
To the maximum extent permitted by law, a claim arising out of or relating to the Services, these Terms, or the StageShield Privacy Policy must be filed within one year after the claimant knew or reasonably should have known of the facts giving rise to it. This limit does not shorten a period that applicable law prohibits the parties from shortening, and tolling applies where required.
18. Export, sanctions, and legal compliance
You must comply with applicable export, sanctions, import, and trade laws. You represent that you are not prohibited from receiving the Services under United States law and will not use, export, or re-export the Services for a prohibited end use or in violation of applicable law.
19. Changes to these Terms
We may update these Terms for legal, security, platform, product, or operational reasons. The current version will show its effective date. We will provide additional notice and obtain affirmative assent when a change materially alters the bargain or when applicable law requires it. Changes do not retroactively create consent, waive an accrued claim, or eliminate a nonwaivable right where law forbids it.
20. General terms
You may not assign these Terms or the StageShield license without the Company's written consent. The Company may assign these Terms in connection with a merger, reorganization, financing, sale of assets, change of control, or by operation of law, and otherwise with notice when required. An assignment does not eliminate nonwaivable rights.
The Company is not responsible for delay or failure caused by events beyond its reasonable control, including natural disaster, utility failure, war, terrorism, civil unrest, epidemic, labor disruption, government action, platform or provider outage, cyberattack despite reasonable safeguards, or failure of a third-party service. This does not excuse duties that applicable law does not permit the Company to excuse.
The parties are independent contractors. These Terms do not create employment, partnership, joint venture, agency, fiduciary, franchise, or exclusive relationship. Except for the Company Parties and Apple and its subsidiaries as expressly stated, there are no third-party beneficiaries.
These Terms, the Apple Standard EULA, and the transaction terms shown by Apple form the entire agreement concerning the Services. If they conflict, a nonwaivable law controls first; applicable Apple terms control the app license and App Store transaction; the transaction terms shown by Apple control the specific offer and price; and these Terms control the remaining subject matter. The StageShield Privacy Policy separately describes information handling. A marketing, help, or support statement does not amend these Terms unless an authorized Company representative expressly agrees in a signed writing.
If a provision is unenforceable, it will be modified to the minimum extent needed or severed, and the remainder will continue. Failure to enforce a provision is not a waiver. A waiver must be in writing and applies only to the stated instance.
Headings are for convenience. "Including" means "including without limitation." The English version controls over a translation to the extent permitted by law. Sections that by their nature should survive termination do survive, including Sections 6 through 8 and 10 through 20.
