PostHandoff Terms of Service

Effective July 21, 2026 · Myworkingmemory LLC, Nashville, Tennessee, United States

Important: PostHandoff organizes and hands content to you. Version 1.0 does not automatically publish to Instagram or another service. Local reminders, copying, share destinations, platform acceptance, and publication are not guaranteed.

1. Agreement and eligibility

These Terms govern your use of PostHandoff, related documentation, support, and Company-controlled websites (collectively, the "Services"). By downloading, purchasing, or using the Services, you agree to these Terms and the Privacy Policy. If you use the Services for an organization, you represent that you have authority to bind it.

You must be legally capable of entering this agreement. A parent or legal guardian must supervise and accept these Terms for a minor where permitted.

2. License and purchase

Subject to these Terms and Apple's rules, Company grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the App on supported Apple devices associated with your App Store account. The App is licensed, not sold. The App Store displays the applicable price, currency, tax, refund, and Family Sharing terms.

3. What the App does

The App can parse compatible text or JSON, present an approval preview, store approved schedules locally, request local notifications, manage optional local media, copy text, and invoke Apple-provided sharing or app-opening controls. Imports do not constitute approval. You are responsible for reviewing the content, dates, times, time zone, media, rights, and platform requirements before approving or publishing.

4. No automatic publication or delivery guarantee

Version 1.0 does not connect to your Instagram account and does not publish for you. A notification means only that the App asked iOS to schedule a local reminder. iOS may delay, group, suppress, or decline delivery because of permissions, Focus, power, device, time-zone, system, or other conditions. A share sheet or app-opening action does not prove that a destination received, accepted, preserved, or published anything.

You must independently confirm every important date, caption, attachment, disclosure, tag, and successful publication. Do not use the App as the only record or deadline system for legal, regulatory, contractual, safety-critical, or financially material communications.

5. AI and imported content

The App is provider-neutral and does not make a model's output accurate, lawful, original, non-infringing, safe, current, or suitable. AI output can contain errors, fabrication, bias, unsafe instructions, third-party material, or inappropriate hashtags. You are responsible for human review and for making necessary corrections before approval or use.

6. Your content and rights

You retain rights you have in the captions, hashtags, plans, media, creative direction, alt text, and other material you place in the App ("User Content"). You are solely responsible for User Content and represent that you have the permissions, licenses, releases, consents, and legal authority needed to store, copy, share, publish, advertise, or otherwise use it.

Do not use the Services to infringe intellectual-property, privacy, publicity, contractual, consumer-protection, advertising, or other rights; impersonate others; mislead customers; distribute unlawful material; harass; threaten; exploit; facilitate fraud; or violate a platform's rules.

7. Advertising and regulated statements

You are responsible for required endorsements, sponsorship disclosures, substantiation, disclaimers, accessibility text, contest rules, age restrictions, regulated-product requirements, and consumer disclosures. The Services do not provide legal, advertising, medical, tax, financial, or other professional advice.

8. Third-party platforms

The Services may interact with Apple system features and third-party destinations you choose, including Instagram, Meta services, LLM services, cloud storage, and messaging apps. Each third party controls its availability, accounts, APIs, accepted formats, caption behavior, policies, moderation, publication, analytics, and privacy practices.

Company is not affiliated with or endorsed by Instagram, Meta, OpenAI, or another LLM provider. Their names and marks belong to their owners. Company is not responsible for third-party acts, omissions, outages, account actions, content removal, policy changes, lost drafts, failed shares, or discontinued integrations.

9. Local data and backups

Your App content is stored locally. You are responsible for your device, passcode, Apple account, storage capacity, backups, exports, clipboard, and copies sent elsewhere. Deleting the App, resetting a device, losing access, storage corruption, operating-system behavior, or restoring an old backup may delete or replace content. Company cannot recover local App content for you.

10. Acceptable use and security

You may not interfere with the Services; bypass security or platform controls; reverse engineer except where non-waivable law permits; distribute malware; use automated methods to overload Company systems; misrepresent affiliation; or use the Services in violation of law, sanctions, export rules, or another party's rights.

11. Feedback

If you send suggestions or feedback, you grant Company a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate it without obligation, provided Company does not thereby acquire ownership of your User Content.

12. Updates and availability

Company may update, modify, suspend, or discontinue features. Operating-system, App Store, and third-party changes may affect compatibility. Company does not promise perpetual availability, a particular integration, or a future automatic-publishing feature.

13. Warranty disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." COMPANY AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS ("COMPANY PARTIES") DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, COMPATIBILITY, AND ERROR-FREE OPERATION.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY PARTIES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, OPPORTUNITIES, GOODWILL, DATA, CONTENT, OR AUDIENCE; MISSED OR DELAYED POSTS; PLATFORM ACTIONS; FAILED NOTIFICATIONS OR SHARES; OR COSTS OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF COMPANY PARTIES FOR ALL CLAIMS ARISING FROM THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE APP IN THE 12 MONTHS BEFORE THE CLAIM OR USD $100. Nothing limits liability that cannot lawfully be limited.

15. Indemnification

You agree to defend, indemnify, and hold harmless Company Parties from claims, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your User Content, publication, advertising, platform conduct, breach of these Terms, violation of law, or infringement of another party's rights, except to the extent prohibited by law.

16. Disputes

Informal resolution

Before filing a claim, send a written notice to dean@myworkingmemory.ai identifying yourself, the App, the issue, and requested relief, and allow 60 days for informal resolution.

Individual arbitration

Except for eligible small-claims matters and requests for injunctive relief involving intellectual property, security, unauthorized access, or fraud, disputes will be resolved by final, binding, individual arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules. The Federal Arbitration Act governs. No class, collective, consolidated, representative, or private-attorney-general proceeding is permitted to the maximum extent allowed by law.

You may opt out of arbitration by emailing Company within 30 days after first accepting these Terms. Include your name, the App name, purchase platform, and a clear opt-out statement. For any claim that proceeds in court, each party waives a jury trial to the maximum extent permitted by law.

17. Governing law and claim period

Tennessee law governs, excluding conflict rules, except that the Federal Arbitration Act governs arbitration. Courts in Davidson County, Tennessee have exclusive jurisdiction over non-arbitrated claims other than eligible small-claims matters. To the maximum extent permitted by law, a claim must be filed within one year after it arose. Non-waivable consumer rights remain unaffected.

18. Changes and general terms

Company may update these Terms and will provide notice as required. If you disagree with updated Terms, stop using the Services. These Terms and the Privacy Policy are the entire agreement concerning the Services. If a provision is unenforceable, the remainder continues, except as required for the arbitration class-waiver provisions. Company may assign these Terms; you may not assign your license without written permission. Sections that by nature should survive will survive.

19. Apple required terms

You acknowledge that these Terms are between you and Company, not Apple; Apple has no obligation to maintain or support the App. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them upon your acceptance. Your use must comply with applicable third-party terms and App Store Usage Rules.
